Terms & Conditions of Sale – Atam Merchandise

These Terms & Conditions ("Terms") apply to all sales of products and services provided by Atam Merchandise (a trading name of CPI Corporate Solutions Ltd) ("we", "our", "us"). By placing an order, you ("Customer", "you") agree to be bound by these Terms.

2. Orders
- Orders must be confirmed in writing (including email) before production begins.
- All orders are subject to availability of materials and our acceptance.
- Quotations are valid for 30 days unless otherwise stated.
3. Prices & Payment
- Prices are exclusive of VAT unless otherwise stated.
- Payment terms are as stated on your invoice (typically 30 days from invoice date for account customers, or upfront for new customers).
- We reserve the right to withhold delivery or suspend services if payment is not received on time.
- Title to goods remains with us until full payment has been received.
4. Delivery
- We will make every effort to deliver goods on time, but delivery dates are estimates only.
- Risk in the goods passes to you on delivery.
- Any shortages or damages must be reported within 48 hours of delivery.
5. Branded & Custom Products
- For custom-printed or branded goods, once artwork is approved, we cannot accept cancellations or returns (unless goods are faulty).
- You are responsible for ensuring that any artwork, logos, or content you provide do not infringe the rights of third parties.
6. Returns & Cancellations
Business Customers (B2B):
- Returns are accepted only if goods are faulty, not as described, or damaged on delivery.
- Cancellation of orders must be made in writing and may incur charges if production has already started.
Consumers (B2C – where applicable):
- If you are a consumer, you may have the right to cancel under the Consumer Contracts Regulations 2013.
- You have 14 days from receipt of goods to cancel (except for custom/branded products).
- Refunds will be made within 14 days of receiving returned goods in their original condition.
7. Warranties & Liability
- We warrant that goods will be of satisfactory quality and fit for their intended purpose.
- Our total liability is limited to the price paid for the goods.
- We are not liable for indirect or consequential losses, including loss of profit, business, or goodwill.
8. Intellectual Property
- All designs, artwork, and branding created by us remain our property unless agreed otherwise in writing.
- You may not reproduce or use our materials without permission.
9. Force Majeure
- We are not liable for delays or failures caused by events beyond our reasonable control (including strikes, supply shortages, transport issues, natural disasters, or IT failures).
10. Governing Law
- These Terms are governed by English law.
- Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
